Competition Council Approves Acquisition of Honest Food SRL

  The Competition Council authorized the transaction through which Ovidiu Andries, Daniel Imbre, the Galea Family and Cristian Varodi will control Honest Food SRL.   Honest Food SRL operates two restaurant units under the name Piata 9. Ovidiu Andries controls a group of companies active in sectors such as fuel trading, auto parts, vehicle maintenance and repair, electricity production, real estate development, and restaurant operations.   Daniel Imbre controls the companies Happy Crop SRL and Motion Capital SRL, which did not generate any revenue in 2022–2024.   The Piata9 brand was founded in Oradea over six years ago by spouses Galea and Cristian Varodi. In 2024, the company reported a profit of almost 52,400 lei and a turnover of almost 36.8 million lei, with 124 employees, according to the most recent data published by the Ministry of Finance.   Companies controlled by the Galea family, namely Lola’s Bakery SRL and Paul Louis Consulting SRL, have not conducted any economic activity in the past three years.   Cristian Varodi owns a share of the capital of Honest Food SRL.   Entrepreneurs from Arad, Ovidiu Andries and Daniel Imbre, are the founders of fuel supplier Smart Diesel. It is considered the largest independent fuel distributor in Romania, with a turnover of over 1.41 billion lei and a profit of over 224.6 million lei in 2024. At the end of 2020, the two entrepreneurs sold a majority stake in Smart Diesel to the German group DKV.   Following the analysis of this economic concentration, the Competition Council concluded that the notified operation does not raise significant obstacles to effective competition in the Romanian market or a substantial part of it and that there are no serious doubts regarding its compatibility with a normal competitive environment. The decision will be published on the website of the national competition authority after the removal of confidential information.
