Romania’s Competition Council is assessing the proposed acquisition by Airbus Atlantic S.A.S. of six Spanish aerospace companies specializing in aircraft components.The transaction covers the acquisition of Mecanizaciones Aeronáuticas S.A., Himec Aero S.L., NMT Aerospace Machining S.L., Gepro Systems S.L., Orisol Montajes Avanzados S.L., and Tratamientos y Procesos Finales Aeronáuticos S.L.U. Airbus Atlantic, based in France, is an aircraft manufacturer and a leading supplier of aerostructures, including wings, fuselages, pylons, nacelles, and empennages. The Airbus Group operates three subsidiaries in Romania, active in aircraft manufacturing as well as maintenance, repair, and overhaul (MRO) services: Airbus Aerostructures SRL, Airbus Helicopters Romania SA, and Airbus Defence and Space Romania SRL. The Spanish companies involved in the transaction manufacture structural components for aircraft fuselages and wings. Although they do not have subsidiaries in Romania, they generate turnover on the Romanian market. Under Romania’s Competition Law No. 21/1996, the proposed acquisition requires approval from the Competition Council. The authority will evaluate whether the transaction is compatible with a competitive market environment before issuing its decision within the deadlines established by law.
